Can you review a contract proposed by the other party?
Yes. I examine the contract, highlight the risks and propose amendments in order of priority. In the first contact it is enough to indicate the type of agreement, the parties involved and the expected signing date. I will let you know which documents are needed to define the work and the estimate.
A shareholder is blocking the company’s decisions: what can be done?
It depends on the articles of association, any shareholders’ agreements and the shareholdings. The options range from negotiation to challenging resolutions, up to withdrawal or expulsion where provided for. The first step is to review the company documents together and clarify the objective: to exit, to stay or to regain control.
Which law should be chosen in a contract with a foreign partner?
The choice depends on the type of contract, the countries involved and the interests to be protected. I assess together the governing law and the clause identifying the competent court or arbitrators, also considering the enforcement of any decision. When necessary, I consult lawyers in the country concerned.
